Another Step Forward Revision to the Local 21's Bylaws
Over the past 2-1/2 years, the Bylaws Committee has worked with the membership, Delegate Assembly, Executive Committee, Union staff, and Local 21 Legal Counsel to revise and modernize our Local Unions Bylaws. In January 2010, both Local 21s Executive Committee and Delegate Assembly overwhelmingly endorsed the Committees proposed revision of the bylaws, and recommended that the general membership approve the revised bylaws. This is the final step in a long process that will help ensure that Local 21s governing documents reflect our Unions reputation for excellence and high level of professionalism. Approval of the revision requires a 2/3 majority of the voting membership, so every members vote is extremely important.
The Committee had five main goals in revising the Bylaws:
1. Update the language;
2. Make them more organized;
3. Make them easier to understand;
4. Eliminate inconsistencies and lack of clarity about roles and responsibilities;
5. Avoid major structural changes.
Update the language
Eliminating or updating areas where the language is outdated along with providing language that reflects established current practices. Language requiring new members to be formally sworn in has been eliminated (since this isn't current practice). Additionally, the Bylaws have been updated to include all regional Vice-President positions that were previously added by action of the Delegate Assembly.
Make them more organized
Reorganizing the Bylaws to make them easier to read and flow logically. In the current Bylaws, the provisions regarding authority of the Delegate Assembly, Executive Committee, and Executive Director were scattered in several places. These have been consolidated into one place, with cross-references to related sections provided. Some sections have been moved to make the document flow more logically. Subheadings and cross-references have been added to make the bylaws more user friendly.
Make them easier to understand
Clarifying areas that were unclear or ambiguous. A clear definition of regular members, including their eligibility to vote and hold office, has been established, A new category of associate members has been created to provide continued participation for retirees and permit the involvement of others who support the Union.
Eliminate inconsistencies and lack of clarity about roles and responsibilities.
Clarifying the respective authority, roles and responsibilities of the Delegate Assembly, the Executive Committee and the Executive Director. Of particular importance is language that defines the Executive Committees authority as being subject to and governed by policies established by the Delegate Assembly. Accordingly, we have made more explicit the Delegate Assemblys role to establish governing policies, rules and limitations, and the Executive Committees role of implementation and oversight to carry out those policies. The revisions make clear that the Executive Director is hired, and can only be fired, by the Delegate Assembly.
Avoid major structural changes.
Keeping what works and avoiding potentially divisive proposals. From the outset, the Committee agreed not to propose changes that would modify the Unions basic governance structure. The goal of this revision is not to propose controversial changes, but rather to clarify the existing Bylaws and keep our current decision-making structure intact.
